It's a way to prepare for filing for a public offering without actually filing. I did a quick check on www.investopedia.com (which is a great place to look up terms if you are unsure what they mean) and got this description:
Quote:
Sometimes current market conditions are not favorable for a specific firm to issue a public offering. For example, suppose the housing market is heading toward a dramatic decline. In this case, it may not be a good time for a home builder to come out with its second offering, as many investors will be pessimistic about companies working in that sector. By using shelf registration, the firm can fulfill all registration-related procedures beforehand and go to market quickly when conditions become more favorable.

So I don't consider it a bad thing at all. It means the company is planning for the future, and in these days of living from quarter to quarter that's a positive in my book. Smile

Don't know anything about the company otherwise.

There are probably tons of posts on this site that link there. Smile If you need a definition, or a short explanation of the rules, it's a great site. At one point they offered a trading simulator but it was not as close to reality as ours is, I think you could only trade once a day or something like that. I have no idea, haven't looked at that in a while, so I may be thinking of a different site altogether.
